The registered office of a Company or LLP is the principle place of business and all official transactions and correspondence with the ROC are made at that location. The registered office of a company can be changed within the local limits of any city, town or village where such office is situated by just giving a notice to the concerned Registrar within 30 days after the date of the change.
A special resolution is required to change the address of the registered office within the jurisdiction of same ROC. However, confirmation of the ROC along with a special resolution, advertisement in the newspapers informing about such change and a notice to the State government informing it about the change is required for change in address of office from one state to another.
Once the board of resolution is passed, the application for the change of address is filed with the ROC. After verification of the documents and information of the application, the address is changed. The Ministry of Corporate Affairs must be informed about the change of address within 30 days.
